Vima Terms and Conditions

1. About Vima

Vima is a race photo marketplace for the Philippines that connects runners, photographers, and event organizers. We help runners find and purchase their race photos using AI-powered face recognition and bib number search. Photographers can upload, sell, and receive payouts for their event photos.

2. Eligibility & Accounts

• You must be at least 13 years old to use Vima.
• Users under the age of majority must have parental or guardian consent.
• You are responsible for maintaining the confidentiality of your account credentials.
• You agree that all information you provide is accurate and up to date.
• We may suspend or terminate accounts that violate these Terms.

3. User Roles

Vima supports the following roles:

• Runners / Buyers – People who search for and purchase their race photos
• Photographers / Sellers – People who upload event photos and receive payouts
• Organizers – Event or club organizers who manage events, clubs, and programs
• Administrators – Platform staff who provide support, moderation, and financial management

Access to features and data depends on your role.

4. Content Ownership & License

4.1 Runner Content (Selfies, Reference Photos)

• You retain ownership of any content you upload.
• By uploading content, you grant Vima a limited, non-exclusive license to process, store, and display it solely for platform functionality (e.g., photo matching).
• You may delete your uploaded content at any time.

4.2 Photographer Content (Event Photos)

• Photographers retain ownership of their photos.
• By uploading photos, photographers grant Vima the right to host, display, distribute, and sell the photos on the platform.
• Responsibility for lawful capture, consent, and ownership rests with the photographer.
• Additional obligations may be outlined in a separate Photographer Agreement.

5. Purchases, Payments & Refunds

• Pricing: Prices are set per event or as agreed with photographers and organizers.
• Payment processing: Payments are processed through third-party providers (e.g., Stripe, PayMongo). Vima does not store credit card details.
• Photographer revenue: Photographers typically receive 85% of each sale; the platform retains 15%.
• Refunds: Digital photo purchases are generally non-refundable. Exceptions may apply as outlined in Vima's Refund Policy, including system errors, duplicate charges, download failures, or photos deemed clearly unusable after review.

6. Acceptable Use

You agree not to:

• Access or download content you do not own or have rights to use
• Circumvent watermarks, payment systems, or access controls
• Upload unlawful, harmful, offensive, or infringing content
• Reverse engineer, hack, or misuse the platform or AI features
• Scrape, bulk-download, or extract content without authorization

Violations may result in account suspension or termination.

7. AI & Automated Processing

Vima uses automated tools (e.g., face recognition, bib recognition) to:

• Match runners with event photos
• Improve search and discovery

These tools:

• Do not verify identity
• Do not create permanent biometric profiles
• Are best-effort and not guaranteed to be error-free

Use of these features may require additional consent as described in our Privacy Policy.

8. Privacy & Data Protection

Your personal data is processed in accordance with our Privacy Policy, which forms part of these Terms.

By using the platform, you acknowledge that:

• Personal data may be processed in the Philippines and possibly other jurisdictions
• Data is protected using reasonable technical and organizational measures
• You have rights to access, correct, and delete your data under the Philippine Data Privacy Act

9. Third-Party Services

Vima integrates with third-party services for payments, analytics, hosting, and AI tools. We are not responsible for the availability, security, or policies of third-party platforms beyond what is required by law.

10. Availability & Service Changes

• The platform is provided on an "as is" and "as available" basis.
• We may modify, suspend, or discontinue features at any time.
• We do not guarantee uninterrupted service.

11. Limitation of Liability

To the maximum extent permitted by law:

• Vima is not liable for indirect, incidental, special, or consequential damages.
• We are not responsible for content uploaded by users.
• Our total liability shall not exceed the amount you have paid to Vima in the past 12 months (or ₱1,000, whichever is greater).

12. Termination

We may suspend or terminate your access if:

• You violate these Terms
• Your actions pose legal, security, or reputational risk
• Required by law or regulatory authorities

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via the platform. Continued use after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the Republic of the Philippines, without prejudice to mandatory data protection rights under the Philippine Data Privacy Act and other applicable laws.
